Mave Platform — myAbode Agent Subscription Terms

The Mave Platform is developed, owned, hosted, operated and supported by Mave, not by myAbode. myAbode holds a licence from Mave that permits registrants of certain brokerages owned in whole or in part by myAbode (each, a "Brokerage") to use the Mave Platform, and myAbode makes the Mave Platform available to you under that licence and bills you for it. Mave is solely responsible for providing the Mave Platform and for your onboarding, training, customer support and service, to the same extent as for any direct customer of Mave. myAbode does not provide the Mave Platform, its features, or any output it generates, and makes no representation as to them.

(a) Your use of the Mave Platform may also be governed by a direct agreement between you and Mave. Mave may publish, and when you activate your Mave account or use the Mave Platform may require you to accept, a Terms of Use, End User License Agreement, Privacy Policy and/or other similar documentation (all such documentation as published or required by Mave from time to time, whether or not Mave requires you to separately accept it, the "Mave Terms").

(b) As between you and Mave, the Mave Terms govern. As between you and myAbode, these Terms govern. Nothing in these Terms limits any rights you have against Mave under the Mave Terms.

Your subscription is available only to you as a registrant of a Brokerage in good standing under the Real Estate and Business Brokers Act, 2002 / the Trust in Real Estate Services Act, 2002 (Ontario) and applicable regulations, and only for your own use in your real estate trading activities with the applicable Brokerage. You may not share your account, allow anyone else to use it, or use the Mave Platform for or on behalf of any other brokerage or business.

(a) Plan and fees. Your subscription plan, price and billing frequency (monthly or annual) are those shown on the Mave checkout screen. Fees are payable in advance in Canadian dollars through myAbode's online checkout process and are exclusive of HST and any other applicable taxes, which will be added. Where your plan includes an introductory period or introductory price, the initial billing period, the introductory price, and the standard price and billing period that apply after the introductory period are as shown on the Mave checkout screen at the time of purchase, which governs over any description of your plan in the payment processor's interface, receipts or notifications.

(b) Automatic renewal. At the end of your initial billing period (including any introductory period) and at the end of each renewal period thereafter, your subscription renews automatically for the standard billing period and at the standard price shown on the Mave checkout screen at the time of purchase (or, if changed under Section 4(c), the then-current price), unless you cancel in accordance with Section 6 before the renewal date. You authorize myAbode and its payment processor to charge your payment method on each renewal.

(c) Price changes. myAbode may change subscription prices on at least 30 days' notice by email or in-app notice. A price change takes effect at the start of your next billing period after the notice period; if you do not agree, you may cancel before then. Where Mave introduces a distinct new product or offering beyond your subscribed features, it will only be added to your subscription, and additional fees will only apply, if you separately opt in.

(d) Non-payment. If a payment fails or is charged back, your access may be suspended until the amount is paid. Subscription fees are not refundable except as expressly stated in these Terms.

If your subscription includes a free trial, the trial length is as stated at checkout. Your paid subscription begins automatically when the trial ends unless you cancel before then. myAbode may shorten, modify or end any free trial immediately if you breach these Terms or the Mave Terms.

(a) By you. You may cancel your subscription at any time through your account on the Mave Platform. Cancellation takes effect at the end of the then-current billing period. Amounts already paid for that period are not refunded and no refund of any unused portion is payable.

(b) Leaving the Brokerage. Your subscription is available only while you remain a registrant of a Brokerage. If your affiliation with the Brokerage ends for any reason, your access will terminate immediately upon termination of your affiliation with the Brokerage. You hereby covenant not to attempt to access the Mave Platform following the termination of your affiliation with the Brokerage and you acknowledge that the Brokerage may access and exercise administrative rights over your account until the end of the then-current billing term.

(c) Continuity. If myAbode's arrangement with Mave ends or myAbode ceases to offer subscriptions, Mave has agreed to continue to provide the Mave Platform to you through the end of any period for which you have prepaid.

(a) Content. As between you and myAbode, and subject to the Brokerage's rights to trading records under applicable law and your agreement with the Brokerage, you retain your rights in the content you upload to the Mave Platform and the output generated for you. You acknowledge that, under myAbode's agreement with Mave, Mave has a licence to process uploaded content and output to provide the Mave Platform and to generate anonymized, aggregated statistics, and that Mave processes content using third-party AI models, as described in the Mave Terms.

(b) Personal information. myAbode collects your name, contact details, Brokerage affiliation and payment information for the purposes of setting up and administering your subscription, billing and collecting fees, providing support, and complying with legal and accounting requirements. For those purposes myAbode may share your name, email, phone, title, and board and agent identifiers with Mave to set up your account, and your payment information with its third-party payment processor, which may process and store that information outside Canada. myAbode retains this information for as long as needed for those purposes and as required by law. You may contact myAbode at the address below with any request to access or correct your personal information or with any privacy question. Mave's handling of your personal information is governed by Mave's privacy policy.

THE MAVE PLATFORM AND ALL OUTPUT ARE PROVIDED BY MAVE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYABODE (AND, IF APPLICABLE, THE BROKERAGE) PROVIDES YOUR SUBSCRIPTION "AS IS" AND MAKES NO REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE MAVE PLATFORM, ITS AVAILABILITY, SECURITY, PERFORMANCE, OR THE ACCURACY, COMPLETENESS, LEGALITY OR SUITABILITY OF ANY OUTPUT, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR ALL DECISIONS MADE AND ACTIONS TAKEN IN RELIANCE ON THE MAVE PLATFORM OR ANY OUTPUT.

(a) Claims relating to the Mave Platform. Any claim, complaint or dispute relating to the Mave Platform and your use thereof, including its availability, performance, features, security, support, or any output, is a matter between you and Mave, and you agree to pursue any such claim directly against Mave and not against myAbode or the Brokerage and you hereby forever release myAbode from any claims related thereto and waive any rights to pursue such claims against myAbode. myAbode's role is limited to making the subscription available and billing for it.

(b) Exclusion. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER MYABODE NOR THE BROKERAGE, NOR THEIR RESPECTIVE AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS, WILL BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF BUSINESS, COMMISSIONS, PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE MAVE PLATFORM, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(c) Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MYABODE AND THE BROKERAGE ARISING OUT OF OR RELATING TO THESE TERMS OR THE MAVE PLATFORM WILL NOT EXCEED THE SUBSCRIPTION FEES YOU ACTUALLY PAID TO MYABODE FOR ACCESS TO THE MAVE PLATFORM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You will indemnify and hold harmless myAbode, the Brokerage and their respective affiliates, directors, officers, employees and agents from and against all losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms or the Mave Terms, (b) your use of the Mave Platform or any output in violation of applicable law, board or MLS® rules or Brokerage policy, (c) any content you upload to the Mave Platform, or (d) any claim by any third party, including Mave, against myAbode or the Brokerage arising from your acts or omissions or related to your use of the Mave Platform.

myAbode may suspend or terminate your subscription immediately if you breach these Terms or the Mave Terms, fail to pay any amount when due, or cease to be a registrant of a Brokerage, or if Mave suspends or terminates your account under the Mave Terms. Mave may also suspend or terminate your access in accordance with the Mave Terms. On any termination, your right to use the Mave Platform under your subscription ends, and Sections 8 to 13 survive.

(a) Changes. myAbode may update these Terms by posting a revised version and, in the event of a material change, providing you advance written notice by email or in-app notice. Continued use of your subscription after the effective date constitutes acceptance; if you do not agree, you may cancel before then.

(b) Relationship to Brokerage agreement. These Terms do not amend your independent contractor or other agreement with the Brokerage, and purchasing a subscription is optional and does not change your status with the Brokerage.

(c) Assignment. You may not assign these Terms or your subscription. myAbode may assign these Terms to Mave, a Brokerage or an affiliate without your consent.

(d) Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the courts of Ontario have exclusive jurisdiction over any dispute relating to them.

(e) Entire agreement; miscellaneous. These Terms, the checkout details for your plan, and (as between you and Mave) the Mave Terms are the entire agreement regarding your subscription. If any provision is unenforceable, the remainder continues in effect. You consent to receiving notices and doing business with myAbode electronically, and agree that your electronic acceptance of these Terms has the same effect as a signature. The parties have requested that these Terms be drafted in English.
